License Agreement

1. Introduction

Purchasing a beat grants you a license to use the music under the terms specified herein. You do not receive ownership of the copyright.

The producer retains full copyright ownership of the beat. The buyer receives rights according to the selected license type. The license becomes active upon successful payment confirmation.

2. License Types

Basic License — $30

  • MP3 file
  • Non-exclusive license
  • Use for music recordings
  • Distribution up to 5,000 copies
  • Up to 50,000 streams
  • Must credit the producer

Premium License — $50

  • MP3 + WAV files
  • Non-exclusive license
  • Distribution up to 50,000 copies
  • Up to 500,000 streams
  • Commercial use allowed
  • Must credit the producer

Unlimited License — $100

  • MP3 + WAV + STEM files
  • Non-exclusive license
  • Unlimited streams and digital distribution
  • Music video permitted
  • Commercial use allowed
  • Must credit the producer

Exclusive License — $350

  • MP3 + WAV + STEM files
  • Exclusive rights to the beat
  • Beat removed from future sales after purchase
  • Unlimited streams and distribution
  • Commercial use allowed

PRODUCER CREDIT (REQUIRED)

Licensee agrees to credit the Producer as 'Produced by STILLHAVINPLAYZ' in all commercial releases, metadata, streaming platforms, video descriptions, and public uses of the Work where credits are displayed.

OWNERSHIP & COPYRIGHT

Producer retains 100% ownership of the underlying composition and master recording unless explicitly transferred via a separate written agreement. This license grants exclusive usage rights, not ownership.

PUBLISHING & WRITER SHARE

Producer shall retain a minimum of fifty percent (50%) of the writer's share and publishing share of the composition. Licensee agrees to properly register the Work with the appropriate Performing Rights Organization (PRO) listing Producer as a co-writer.

MECHANICAL ROYALTIES

Producer is entitled to mechanical royalties generated from the distribution, sale, or streaming of the Work in accordance with applicable laws and collection agencies.

PERFORMANCE ROYALTIES (PRO)

Producer shall receive full performance royalties collected through Performing Rights Organizations (e.g., ASCAP, BMI, SESAC) for public performances, broadcasts, and streaming.

EXCLUSIVITY DEFINITION

Exclusive rights grant the Licensee sole commercial use of the beat moving forward. Producer will remove the beat from future sales. However, prior licenses remain valid and Producer retains all royalty and ownership rights.

NO BUYOUT / NO TRANSFER

This agreement does not constitute a buyout. Licensee may not claim full ownership of the Work, nor transfer ownership rights to third parties without written consent from the Producer.

BREACH CLAUSE

Failure to comply with crediting, royalty obligations, or ownership terms constitutes a material breach of this agreement and may result in termination of the license.

3. Producer Credit

All non-exclusive licenses require credit in the form: "Produced by STILLHAVINPLAYZ" or equivalent attribution to the producer.

4. Restrictions

Buyers may not:

  • Resell the beat
  • Redistribute the audio files
  • Claim the beat as their own production
  • Transfer the license to another person
  • Use the beat for illegal or defamatory content

5. Digital Delivery

Beat files are delivered digitally after purchase. No physical goods are shipped.

6. Refund Policy

All beat purchases are final and non-refundable once files are delivered.

6A. Payment Finality

All purchases are final and non-refundable. By completing this transaction, Licensee acknowledges that digital goods are delivered immediately and waives any right to dispute or reverse the charge once access has been granted.

6B. Delivery Confirmation

Licensee acknowledges that a copy of this Agreement has been delivered electronically via email and made available for download. Failure to retain a copy does not invalidate the Agreement.

7. Copyright Protection

Unauthorized use, piracy, or redistribution of beats may result in license termination, copyright claims, and legal action.

8. Agreement Acceptance

Purchasing a license constitutes acceptance of these license terms.
